Terms of Service

These Terms explain how organisations and their users may use Chamberless. They are a draft for an Australian SaaS business and should be reviewed by a lawyer before public launch.

Chamberless is operated by Nepoz Group Pty Ltd trading as Chamberless (ABN 98 147 717 913). Contact: support@chamberless.com.

1. About these Terms

These Terms of Service ("Terms") are an agreement between Nepoz Group Pty Ltd trading as Chamberless ("Chamberless", "we", "us") and the business or organisation that creates a Chamberless account ("Customer", "you"). By creating an organisation, subscribing or using Chamberless, you agree to these Terms on behalf of that organisation and confirm you have authority to do so.

Our Privacy Policy, Acceptable Use Policy and Data Handling Statement form part of these Terms.

2. Who Chamberless is for

Chamberless is business software for small and growing organisations to manage employee records, departments and positions, work schedules, attendance (clock in/out and corrections), leave balances and requests, client records, planned employee-to-client allocation, dashboards, reports, user invitations and subscriptions.

Chamberless is not payroll, accounting, recruitment or performance-management software. It does not track time worked for clients, does not use GPS, geofencing or biometrics, and does not provide legal, HR, tax or employment advice. It is not intended for personal, household or consumer use.

3. Accounts, Owners and authorised users

  • The person who creates an organisation becomes its Owner. Owners manage billing and can appoint Admins and Managers.
  • Owners and Admins can invite people ("authorised users") and decide their role and access. You are responsible for who you invite, the access you give them, and removing access when it is no longer needed.
  • Each user must have their own login. You must keep credentials secure and tell us promptly at support@chamberless.com if you suspect unauthorised access.
  • You are responsible for the acts and omissions of your authorised users in using Chamberless.

4. Your data and workforce information

You own the information you and your users enter into Chamberless ("Customer Data"), including employee, attendance, leave and client information. You grant us a limited licence to host, process, copy and display Customer Data only as needed to provide, secure and support the service, and as described in our Privacy Policy.

You are responsible for:

  • deciding what information you enter, and making sure it is accurate and lawfully collected;
  • having the right to collect and use it, and telling your employees about it where required by law;
  • avoiding unnecessary sensitive information (see our Data Handling Statement);
  • configuring schedules, leave types and balances correctly, and making sure your attendance and leave practices comply with applicable workplace laws, awards and agreements.

Chamberless provides software tools. It does not determine employment entitlements, wages, award interpretation or legal leave entitlements, and it does not make HR or legal decisions for you. Figures shown in Chamberless (for example leave balances or attendance status) are based on the settings and data you provide.

5. Free trials

New organisations may receive a free trial. The trial length is shown in the app. We may send reminders before a trial ends. When a trial ends without a paid plan, access to some or all features may be restricted until a plan is chosen.

6. Subscriptions, prices and plan limits

Current plans (prices in Australian dollars unless stated otherwise):

  • Starter — up to 10 active employees — A$19/month or A$190/year
  • Growth — up to 30 active employees — A$39/month or A$390/year
  • Business — up to 50 active employees — A$69/month or A$690/year
  • Pro — up to 100 active employees — A$119/month or A$1,190/year
  • Subscriptions are paid in advance, monthly or yearly, and renew automatically at the end of each billing period until cancelled.
  • Each plan covers a maximum number of active employees. If you need more, move to a larger plan.
  • You can change plan from the Billing page in Chamberless. Plan changes and any price adjustments are calculated by our payment provider at the time of the change.
  • We may change published prices or plans for future billing periods. We will give you reasonable advance notice (by email or in the app) before a price change applies to your subscription, and you may cancel before it takes effect.
  • Prices are GST-inclusive or exclusive as stated at checkout and on your invoice. [Legal review: confirm GST treatment and tax invoice requirements.]

7. Payment and non-payment

Payments are processed by Stripe. By subscribing, you authorise us (through Stripe) to charge your nominated payment method for each billing period. If a payment fails, we will notify the Owner and Stripe may retry the charge. If payment remains outstanding, we may suspend or restrict access until the account is brought up to date, after giving you notice.

8. Cancellation and refunds

The Owner can cancel at any time from the Billing page. Cancellation takes effect at the end of the current paid period, and you keep access until then. We do not provide partial refunds for unused time in a billing period, except where required by law or at our discretion.

Nothing in these Terms excludes, restricts or modifies any right or remedy, including under the Australian Consumer Law, that cannot lawfully be excluded, restricted or modified.

9. Suspension and termination

We may suspend or terminate access, with notice where reasonably practicable, if you materially breach these Terms or the Acceptable Use Policy, fail to pay, or if needed to protect the service, other customers or comply with law. You may stop using Chamberless at any time.

10. Acceptable use

You must comply with our Acceptable Use Policy. In particular you must not use Chamberless unlawfully, for unauthorised monitoring, to harass or discriminate, to bypass access controls, or to send spam through invitations or emails.

11. Availability, maintenance and changes

We aim to keep Chamberless available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, which may briefly interrupt the service. We may improve, change or retire features; if a change materially reduces core functionality you pay for, we will give reasonable notice.

12. Third-party providers

Chamberless relies on third-party providers, including Stripe (payments), a transactional email provider, and cloud hosting and database infrastructure. Their services are subject to their own terms. We are not responsible for failures of third-party services outside our reasonable control.

13. Intellectual property and feedback

We own Chamberless, including the software, design and content (excluding Customer Data). You receive a non-exclusive, non-transferable right to use it for your internal business purposes during your subscription. If you give feedback or suggestions, we may use them without obligation to you.

14. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.

15. Disclaimers

To the extent permitted by law, Chamberless is provided "as is". We do not warrant that it will meet every requirement or that outputs (such as reports, balances or allocation figures) are suitable for payroll, legal or compliance decisions. You should obtain professional advice for employment, HR, tax or legal matters.

16. Limitation of liability

To the extent permitted by law: (a) we are not liable for indirect or consequential loss, loss of profits, revenue or data; and (b) our total liability arising out of or in connection with these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Where the Australian Consumer Law applies and our liability for failure to comply with a consumer guarantee can be limited, our liability is limited to resupplying the services or paying the cost of having them resupplied.

17. Indemnity

To the extent permitted by law, you indemnify us against claims by third parties (including your employees) arising from Customer Data you entered without a lawful right, or from your breach of these Terms or applicable law. [Legal review: confirm scope is appropriate for small-business customers, including unfair contract terms rules.]

18. Changes to these Terms

We may update these Terms. For material changes we will give reasonable notice by email or in the app before they take effect. The version and effective date appear at the top of this page. Continuing to use Chamberless after the effective date means you accept the updated Terms.

19. Governing law

These Terms are governed by the laws of New South Wales, Australia, and each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
